Thoughts on justifying corporate attorneys fees.

When I am wearing my M&A hat, its pretty easy to justify my fees, However, when I am merely revising contracts or doing other corporate work, even when the stakes are big, I will occasionally get some push back. I have been thinking a lot lately that the true measure of what I do is the value of the lawsuit that is not filed. Has anyone used this argument successfully with a client? If so, how did you approach it? We all know that money spent up front with a lawyer often saves big money later, but how do you quantify it in terms a client can understand?
